Terms of Service

These Terms of Service ("Terms") govern your use of the BlueApe platform operated by BlueApe, Inc. ("BlueApe," "we," "us"). By accessing or using BlueApe, you agree to these Terms.

1. Service Description

BlueApe is an AI-native ERP for industrial small and mid-sized businesses — distributors, and adjacent light manufacturers and service shops. It reads incoming quote requests, prices them from your catalog, builds and follows up on quotes, turns wins into orders, and runs inventory and shipping — working alongside the QuickBooks you already use. The platform provides AI-assisted quoting and pricing, order processing, inventory and warehouse management, an AI copilot, and integration with third-party services including QuickBooks Online, HubSpot, Microsoft 365, and shipping carriers.

2. User Accounts and Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity under your account
• You must provide accurate and current information when creating an account
• You must notify us immediately of any unauthorized use of your account
• You are responsible for ensuring your use of the platform complies with applicable laws and regulations

3. Acceptable Use

You agree not to:

• Use the platform to store or transmit malicious code
• Attempt to gain unauthorized access to other tenants' data
• Use the platform in violation of any applicable law or regulation
• Resell, sublicense, or redistribute the platform without written authorization
• Reverse engineer, decompile, or disassemble any part of the platform

4. Data Usage and Ownership

• Your data remains yours. You retain all ownership rights to the data you enter into BlueApe
• We use your data only to provide and improve the services you use, as described in our Privacy Policy
• We do not sell or share your business or financial data with third parties for their marketing purposes
• When you connect third-party integrations (QuickBooks, HubSpot, etc.), data flows between those services and BlueApe as configured by you

5. Third-Party Integrations

• BlueApe connects with third-party services including Intuit QuickBooks, HubSpot, Microsoft 365, and shipping carriers
• Your use of these integrations is subject to those providers' own terms of service
• You may connect or disconnect any integration at any time through the BlueApe admin panel
• Disconnecting an integration immediately stops all data synchronization with that service
• BlueApe is not responsible for outages, changes, or data issues originating from third-party services

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any loss or damage resulting from service interruptions.

7. Limitation of Liability

To the maximum extent permitted by law:

• BlueApe is provided "as is" without warranties of any kind, express or implied
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the fees you paid to us in the 12 months prior to the claim
• We are not liable for losses resulting from data sync errors, integration failures, or third-party service issues

8. Termination

• You may stop using BlueApe at any time
• We may suspend or terminate your access for violation of these Terms
• Upon termination, your right to use the platform ceases immediately
• You may request export of your data within 30 days of termination

9. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised effective date. Continued use after changes constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas.
